Terms of Service Agreement

  1. Introduction

    1. The terms of this Service Agreement (the "Agreement") is between you and Lepsta Inc. ("Service").
    2. If you are entering into this Agreement on behalf of your company, then "Customer" or "you" refers to the company that you represent, and confirm that you have the necessary authority to represent the said company.
    3. By making use of this service or clicking on the "I agree" (or similar button), presented to you at the time of your Order, or by using or accessing Lepsta, you indicate your assent to be bound by this Agreement.
    4. If you do not agree with the terms of this Agreement, you MUST not accept this Agreement and may not use this service.
    5. Lepsta may modify this Agreement from time to time.  In this regard, any amendments herein will be communicated to you by email or by the posting of a notice on our website.
    6. It should be noted that any new feature or enhancement shall be subject to this Agreement.

  2. Breach

    1. If you are in breach of any of your obligations under this Agreement, Lepsta will be entitled to terminate your Account.
    2. Lepsta cannot be responsible for the Content posted or hosted on the Service. While Lepsta prohibits such conduct* and Content on the Service and you nonetheless may be exposed to such content, you understand and agree that you will use the Service at your own risk.

  3. *Acceptable Usage

    With Lepsta you will be collaborating with other people and you are required to be considerate of the type of content you post.  The terms of this section include some restrictions on content you can post, conduct on the service, and other limitations. In short, be good to each other.

    We do not allow content or activity on Lepsta that:

    1. is unlawful or promotes unlawful activities;
    2. is sexually obscene or relates to sexual exploitation or abuse, including of minors;
    3. is libelous, defamatory, or fraudulent;
    4. is discriminatory or abusive toward any individual or group;
    5. is false, inaccurate, or intentionally deceptive information and likely to adversely affect the public interest (including health, safety, election integrity, and civic participation);
    6. harasses or abuses another individual or group, including our employees, officers, and agents, or other users;
    7. threatens or incites violence toward any individual or group, especially on the basis of who they are;
    8. gratuitously depicts or glorifies violence, including violent images; or
    9. is off-topic, or interacts with platform features in a way that significantly or repeatedly disrupts the experience of other users.

  4. Account Registration Terms

    1. To access and use Lepsta, you need to create an account. You must be at least 13 years old and be a human being. It is duly recorded that accounts created by robots are not permitted.
    2. You are responsible for maintaining the security of your account and password. Lepsta will not be liable for any loss or damage from your failure to comply with this security obligation.
    3. You are responsible for all content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account).
    4. One person or legal entity may not maintain more than one free account.

  5. Payment, Refunds, Upgrading and Downgrading Terms

    1. “Plan”, “Plans” or “Payment plan” refers to the subscription package, billable or not, that you choose when you register an account for yourself or team.
    2. All paid plans must enter a valid payment account. Free accounts are not required to provide payment account information.
    3. You will select your Plan as part of your registration for the Services. Each subscription period for a Plan will be based on the subscription period chosen (e.g., annually or monthly). You are responsible for subscription fees for the entire subscription period chosen.
    4. At the end of your current subscription period, your Plan will automatically renew for a subscription period equal to your prior subscription period unless you notify Lepsta of your intent not to renew your Plan at least thirty (30) days prior to the end of the then-current subscription period.     5. You will be immediately billed should you upgrade from the free plan to any paying plan.
    6. For monthly payment plans, the Service is billed in advance on a monthly basis and is non-refundable.
    7. There will be no refunds or credits for partial months of service.
    8. If you add a new member to your team, you will immediately be charged for the addition, pro-rated to reflect the remaining duration of your subscription period, and you will be charged the full amount of the then-current rate for the new Plan.
    9. The price change for reducing the number of team members will take effect in the next billing cycle that occurs more than thirty (30) days following your reduction or cancellation, and you will not receive any refunds for payments made on your current billing cycle.
    10. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

  6. Cancellation and Termination

    1. You can cancel your account at any time by clicking on "Your profile" on the top right-hand of the screen.
    2. You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation.
    3. All of your Content will immediately be deleted from the Service upon cancellation. This information cannot be recovered once your account is canceled.
    4. Should you elect to cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.
    5. Lepsta reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account.
    6. In the event that Lepsta takes action to suspend or terminate an account, Lepsta may, at its election, provide the affected account owner with a copy of their account contents upon request, unless the account was suspended or terminated due to unlawful conduct.

  7. Content Ownership

    1. Lepsta claims no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours. However, by setting your pages to be viewed publicly, you agree to allow others to view your Content. By setting your repositories to be viewed publicly, you agree to allow others to view and clone your repositories.
    2. Lepsta does not pre-screen content, but We have the right (but not the obligation) in Our sole discretion to refuse or remove any Content that is available via the Service.

  8. General Conditions

    1. Your use of the Service is at your own risk.
    2. The service is provided on an "as is" and "as available" basis.
    3. Support for the service is only available in English, via email and other forums. However, requesting support from other users can be done in the language of your choice.
    4. You understand and accept that Lepsta uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
    5. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with Lepsta service.
    6. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service.
    7. You expressly understand and agree that Lepsta shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses.
